FINANCIAL INFORMATION
In accordance with the “Regulation on the Determination
of the Minimum Content of a Company’s Annual Report”
prepared by the Ministry of Customs and Trade and published
in the Official Gazette No.28395 on August 28, 2012 in the
framework of Articles 516, 518, 565, and 610 of Turkish
Commercial Code No. 6102, other issues to be included in the
annual report are:

There is no preferred stock.
Prohibition Trading with Company and
Restriction of Competition
At the Extraordinary General Meeting held on September
28, 2012, without prejudice to the provisions of Banking
Law, the members of the Board of Directors were permitted
in accordance with articles 395 and 396 of the Turkish
Commercial Code.
Remuneration of Senior Management and
Members of the Governing Body
As of December 31, 2012, the Bank’s senior management
was provided a salary and other benefits amounting to TL
2,661 thousand (December 31, 2011: TL 1,971 thousand).
The Bank has collateral amounting to $ 3 million against
any losses resulting from the managers’ defects through
‘administrative liability insurance’.
Investments in the Accounting Period
Information regarding the Bank’s investments in 2012
is given in Section 5 of the Unconsolidated Independent
Auditors’ Report / I. Information on Disclosures and
Footnotes of Assets / Article 12 and 13.
Associates and Participation Rates
As at 31 December 2012 and 2011, the Bank does not have
any associates. The Bank’s subsidiary A&T Finansal Kiralama
A.Ş., 99.98% of the capital of which is owned by the Bank, is
engaged in financial leasing.
Information on the Bank’s Shares acquired
by the Bank itself
During the accounting period, the Bank has not acquired its
own shares.
Information on Public and
Special Audit Facilities
In addition to constant surveillance of the Banking Regulation
and Supervision Agency, the Bank is subject to a limited
range of monitoring at the end of each quarter and the full
range of monitoring at the end of each year by independent
audit firm. ‘Financial structure’ and ‘information technology-
COBIT’ audits were conducted at the Bank during the
accounting period.
Information on Lawsuits filed against the
Bank and the Possible Consequences
During the accounting period, no actions have been brought
against the Bank that may affect its financial condition and
activities.
Administrative Fine
The Bank paid an administrative penalty of TL 100,424 (2011:
TL 22,030) in the accounting period, due to applications
contrary to the provisions of related legislation.

The Bank reached the financial targets set for the year 2012.
Information on the financial performance of the Bank during
the reporting period is explained in Section 1 of Annual

All decisions of the General Assembly in the year 2012 have
been fulfilled.
